Terms of Service

Last updated October 2, 2026

Panther is software for building, backtesting, and paper trading strategies. Today it does not place real trades, hold your money, or give investment advice. Backtests and paper-trading results are hypothetical and do not predict how a strategy will perform with real money.

These Terms of Service (“Terms”) are a binding agreement between you and Solomon Systems LLC (“Solomon Systems,” “we,” or “us”), the provider of Panther, the strategy engine at v2.getpanther.app, and of this website (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

These Terms do not cover the legacy Panther prediction-market terminal, which is governed by its own separate terms.

These Terms contain a binding arbitration clause and a class-action waiver (Section 14) that affect how disputes between you and us are resolved.

1. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to enter into a binding contract. You may not use the Service if you are located in, resident in, or a national of Cuba, Iran, North Korea, Syria, Russia, Belarus, or the Crimea, Donetsk, or Luhansk regions, or any other jurisdiction subject to comprehensive U.S. sanctions, or if you appear on any government sanctions list. You are responsible for making sure your use of the Service is lawful where you are.

The Service is subject to U.S. export control laws, and you will not use it in violation of the Export Administration Regulations or for any prohibited end use. We make no representation that the Service is appropriate or lawful to use outside the United States.

2. What Panther Does

Panther lets you build trading strategies (“Strategies”) on a visual canvas, test them against historical data (“backtesting”), and run them forward against live market data with simulated fills (“paper trading”). Data comes from prediction markets such as Kalshi and Polymarket, from crypto markets, and from other sources we add over time.

No real-money trading. Today the Service does not connect to a brokerage, exchange, or wallet, does not place orders on any venue, and does not hold, move, or have access to your trading funds or digital assets. Every order, fill, position, and profit or loss shown in the Service is simulated. If we later offer live execution, it will be a separate opt-in feature with its own terms, which you will need to accept before using it.

Beta. The Service is in beta. Features may change, break, or be removed, and we may reset or migrate data as the product develops. We will give paid users reasonable advance notice and a chance to export before any reset that deletes their Strategies.

3. Hypothetical Results; No Advice; Regulatory Status

Hypothetical or simulated performance results have certain limitations. Unlike an actual performance record, simulated results do not represent actual trading. Also, since the trades have not been executed, the results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated trading programs in general are also subject to the fact that they are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

Backtests, paper-trading results, track records, equity curves, and other performance figures in the Service, including figures on this website and any track record you or others publish, are simulated. They rely on simplified assumptions about fills, fees, slippage, liquidity, and latency, and they are not records of actual trading. Past or simulated performance does not guarantee future results.

We provide software and information only. We are not registered with the Commodity Futures Trading Commission, the National Futures Association, the Securities and Exchange Commission, or any state securities or commodities regulator. We are not a broker, introducing broker, futures commission merchant, commodity pool operator, commodity trading advisor, investment adviser, exchange, designated contract market, or swap execution facility. Nothing in the Service is financial, investment, legal, or tax advice. Strategies, AI suggestions, and other users’ published content are general and impersonal, are not tailored to your circumstances, and are not an offer or solicitation to buy or sell any contract, security, or digital asset. Market data may be delayed, incomplete, or inaccurate. Any decision you make with real money, anywhere, is yours alone.

4. AI Features

The Service includes AI features, such as a copilot that proposes changes to your Strategies from plain-language requests. AI output can be wrong, incomplete, or unsuitable, may be similar to output provided to others, and is not advice. You are responsible for reviewing anything it proposes before you accept it. To provide these features, we send your prompts and the relevant Strategy and market context to third-party AI providers, as described in our Privacy Policy. Do not enter information you do not want processed this way.

AI usage is metered in credits. Your plan includes a credit allowance that resets each billing period and does not roll over. Credit packs you buy are used after your plan credits, expire 12 months after purchase, and stay with you if you cancel your plan. Credits are a limited license to use AI features, not property; they have no cash value, cannot be transferred, and are not refundable except as required by law. A request that fails is refunded in credits. We may change how many credits an action uses, and we will show you the cost before you send a request.

5. Your Account

You sign in with your email address or a Google account and choose a username. You are responsible for keeping access to your email and Google account secure and for everything that happens under your account. Your username must not impersonate anyone or be offensive, and we may reclaim or change a username that violates these Terms. Tell us promptly at admin@getpanther.app if you believe your account has been compromised.

6. Plans, Billing, and Trials

Paid plans. Some features require a paid plan. Plan features, limits, and prices are shown on our pricing page, on the Billing page in the app, and at checkout. Payments are processed by Stripe, and you authorize Stripe to charge your payment method for your plan and any credit packs you buy.

Paid plans renew automatically at the end of each billing period (monthly unless stated otherwise at checkout) at the then-current price, plus applicable taxes, until you cancel.

Before you subscribe, we show you the price, billing frequency, and how to cancel, and we send a confirmation that includes these terms and cancellation instructions.

Free trials. If your plan starts with a free trial, we tell you at sign-up when the trial ends and what you will be charged. Unless you cancel before the trial ends, your paid plan begins and you are charged on that date. You are not charged if you cancel during the trial.

Cancellation. You can cancel online at any time from Manage Subscription on the Billing page. Cancellation stops future renewals; you keep your plan until the end of the period you have paid for, then move to the Free plan.

Price changes. We will notify you at least 30 days before a price change applies to your subscription, and you may cancel before it takes effect. Beta or introductory pricing lasts for the period shown at checkout; if no period is shown, it lasts until we give you at least 30 days’ notice that it is ending.

Refunds. Except as stated in these Terms or required by law (including any statutory right of withdrawal where you live), fees are non-refundable, including for partial billing periods. If we terminate your account without cause or discontinue the Service, we will refund any prepaid fees for the unused part of your billing period.

7. Your Strategies and Content

You own the Strategies, prompts, notes, files you import, and other content you create in the Service (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, run, and display Your Content as needed to operate, secure, and improve the Service, including running your backtests and paper-trading sessions and sending Your Content to service providers that help us do so.

If the Service lets you publish or share a Strategy or its track record, you choose whether to do so. When you publish, you grant other users a non-exclusive, royalty-free license to view, copy, fork, and modify it for their own use within the Service, and copies others have made may remain after you unpublish or delete it. Others’ published Strategies are informational only; if you copy or follow one, you do so at your own risk.

You are responsible for Your Content and confirm you have the rights to it. We may remove content that violates these Terms or the law.

8. Copyright Complaints

If you believe content on the Service infringes your copyright, send a notice that meets the requirements of 17 U.S.C. § 512(c)(3) to our designated agent: Solomon Systems LLC, Attn: Copyright Agent, [postal address to come], admin@getpanther.app. Counter-notices may be sent to the same address. We may remove content in response to a valid notice and will terminate the accounts of repeat infringers in appropriate circumstances.

9. Acceptable Use

You agree not to:

  • use the Service for any unlawful purpose, or to help anyone manipulate a market or commit fraud;
  • present simulated, backtested, or paper-trading results as actual trading results, or publish performance figures without the hypothetical-results labeling the Service applies;
  • use the Service to manage, or to solicit for or advise on, other people’s money or accounts, or to offer trading signals for compensation, unless you are properly registered or exempt;
  • scrape, bulk-download, resell, or redistribute market data, results, or other content from the Service except as the Service expressly allows;
  • access the Service through bots or automated means other than interfaces we provide for that purpose, or exceed or circumvent plan limits, rate limits, or credit metering;
  • share your account, or create accounts to evade a suspension or plan limit;
  • evade a geographic, eligibility, or sanctions restriction, including by using a VPN or proxy;
  • upload malicious code, or content you do not have the right to share; or
  • probe, disrupt, overload, or reverse engineer the Service, or attempt to extract its models or prompts.

10. Third-Party Services and Data

The Service relies on independent third parties, including market-data sources, prediction-market venues, sign-in, hosting, analytics, AI, and payment providers. We do not control them and are not responsible for their availability, accuracy, or conduct. Panther is not affiliated with, endorsed by, or sponsored by Kalshi, Polymarket, Anthropic, Google, Stripe, or any other third party named in the Service; their names and marks belong to them.

Market data is licensed or obtained from third parties for your personal, non-commercial use within the Service and may not be redistributed. If a source stops providing data, related features may stop working. Your ability to trade on any venue is governed by that venue’s own terms and eligibility rules, which vary by jurisdiction; paper trading a venue’s markets does not mean you are eligible to trade on it.

11. Our Intellectual Property

We and our licensors own the Service, including its software, node library, designs, and the “Panther” and “Solomon Systems” names and logos. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for your own trading research. If you send us feedback or suggestions, we may use them freely without obligation to you.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that market data, backtests, simulated fills, AI output, or any other results are accurate, complete, or timely, that the Service will be uninterrupted, secure, or error-free, or that your Strategies or data will be preserved.

13. Limitation of Liability; Indemnification

To the maximum extent permitted by law, Solomon Systems will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading losses, lost profits, or loss of data, including losses from decisions you make based on the Service. Our total liability for any claim will not exceed the greater of the fees you paid us in the three months before the claim or US $100. Some jurisdictions do not allow these limitations, so some may not apply to you.

You agree to indemnify and hold harmless Solomon Systems and its affiliates, officers, and employees from any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any law or third-party right.

14. Dispute Resolution; Arbitration; Class-Action Waiver

Please read this section carefully.

(a) Informal resolution. Before starting arbitration or a small-claims case, the claimant must send the other party a written notice (to us at admin@getpanther.app; to you at your account email) stating the claimant’s name, account email, a description of the claim, and the relief sought. The parties will then try in good faith to resolve the dispute for 30 days, and limitation periods are paused during that time.

(b) Arbitration. This Section is governed by the Federal Arbitration Act. Except as stated below, any dispute arising out of or relating to these Terms or the Service will be resolved by final, binding, individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (or, for accounts used on behalf of an organization, its Commercial Arbitration Rules). The arbitrator, not a court, decides questions of arbitrability, except that a court decides disputes about Sections 14(d) and 14(e). Hearings will be held by video or in the county where you live, unless the parties agree otherwise. Fees are allocated as the AAA rules provide.

(c) Exceptions. Either party may bring an individual claim in small-claims court in the county where you live or in Delaware, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.

(d) Class-action and jury waiver.

You and Solomon Systems agree to bring claims only in an individual capacity, and not as part of any class or representative proceeding, and each waives the right to a jury trial.

If a court decides that this waiver is unenforceable for a particular claim or request for relief (such as public injunctive relief), that claim or relief will be severed and decided by a court, after any individual arbitration is complete; everything else remains in arbitration.

(e) Mass filings. If 25 or more similar demands are filed by or with the help of the same law firm or organization, the AAA’s Mass Arbitration Supplementary Rules apply, the demands may be administered in staged batches of up to 50, and fees for later batches are not due until earlier batches are resolved. Limitation periods are paused for demands awaiting a batch.

(f) Opt-out. You may opt out of this Section 14 within 30 days after you first accept these Terms by emailing admin@getpanther.app from your account email with the subject “Arbitration Opt-Out” and your name and username. Opting out does not affect any other part of these Terms.

(g) Changes. If we change this Section 14, the change will not apply to any dispute of which either party had notice before the change took effect, and you may reject the change by emailing us within 30 days of notice.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 14, and except as provided in Section 14(c), any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware.

16. Suspension and Termination

You may stop using the Service at any time and may ask us to delete your account by emailing us. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service; where practical, we will give you notice and a chance to export Your Content. Sections 3, 4, 6 (as to amounts owed and refunds), 10 through 15, 17, and 18 survive termination. The license in Section 7 survives only as needed to keep backups for a limited time, comply with law, and cover content you published that others copied.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and notify you by email or in the Service at least 14 days before they take effect, except where a change is required by law or addresses security, in which case it may take effect immediately. Your continued use of the Service after a change takes effect means you accept the updated Terms. Changes to Section 14 are governed by Section 14(g).

18. General

If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and “you” includes that organization. If you have signed an order form or other agreement with us, or accepted additional terms for a feature (such as live execution), those terms control over these Terms where they conflict.

These Terms, the Privacy Policy, and any such additional terms are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. We may assign these Terms; you may not without our consent. We are not liable for delays or failures caused by events beyond our reasonable control. You consent to receive communications from us electronically.

19. Contact
